Equity Private Placements
The situation
Development stage medical device company invented promising proprietary technology. Now the company needed funding to get through FDA trials, approvals, manufacturing and to initiate marketing.
The company’s angel investors and technology head hired our professionals to raise capital and to advise the Board.
How our professionals helped
Our professionals quickly assessed that the company appeared to have a good technology and product, but no business leadership or marketing experience. New investors would need confidence in the company’s ability to optimally deploy new capital. Further, unsuccessful FDA trials could terminate product viability at several critical stages.
Our professionals assisted the company by establishing a world class Advisory Board, fulfilling the company’s CFO function and developing a three-staged funding strategy. Each round of private placements was geared to the achievement of explicit milestones. These included the initiation of FDA trials, hiring of a proven medical device CEO and marketing management and the outsourced manufacture of the devices.
The result
Our professionals successfully completed three Regulation-D equity private placements for the company as the technology was proven and approved. The technology was then sold to a NYSE medical device company.
